General Provisions
1. ACCEPTANCE OF TERMS
These Terms and Conditions (“Terms”, “Agreement”) govern your access to and use of the Kantalat Workflow Automation Platform (“Service”, “Platform”), provided by SMMATIC Co., Ltd and its affiliates (“Kantalat”, “we”, “Company”).
By:
- Accessing or using the Service
- Creating an account
- Downloading, installing, or using any software, tools, or features
- Clicking “I Accept” or similar buttons
- Subscribing to any of our plans
You (“User”, “you”) agree to be bound by these Terms, our [Privacy Policy], and any other policies referenced herein (collectively, the “Agreement”).
IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE THE SERVICE.
2. DEFINITIONS
- “Platform”: Kantalat’s workflow automation platform and all related services, documentation, and tools that enable automated workflows between software applications.
- “Workflow”: An automated sequence of tasks configured by the User within the Platform to trigger actions, process data, or distribute content across multiple connected applications and services.
- “Execution”: A single run of a Workflow from start to finish, regardless of the number of steps or amount of data processed.
- “Credits”: The internal balance unit used to measure and manage service usage on the Platform.
- “User Content”: All data, files, configurations, workflow definitions, credentials, and other materials that you create, upload, or transmit through the Service.
- “Third-Party Services”: External applications, APIs, platforms, and services that you connect to the Platform via integrations to build your Workflows. These include but are not limited to productivity tools, communication services, databases, external API providers, and any other software accessed via programming interfaces.
- “Node”: A single step or action within a Workflow that performs a specific task or connects to a Third-Party Service.
- “Subscription”: Your recurring payment plan (monthly or annual) granting access to the Service.
- “Free Trial”: Time-limited access to the Service without payment, with usage restrictions.
3. ACCOUNT REGISTRATION & ELIGIBILITY
3.1 Eligibility
To use the Service, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Service under applicable law
- Provide accurate, current, and complete information during registration
If you use the Service on behalf of an organization:
- You represent that you have authority to bind that organization to these Terms
- References to “you” include both you individually and the organization
3.2 Account Creation
When creating an account, you must:
- Provide accurate and complete information (name, email, phone number, payment details)
- Not provide a non-existent or unauthorized email address
- Not impersonate another person or organization
- Not create multiple accounts to circumvent restrictions or receive additional free trials
- Keep your account information up to date
3.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials (username, password, API keys)
- All activity occurring under your account
- Notifying us immediately of any unauthorized access or security breach
- Using a strong, unique password and enabling two-factor authentication (when available)
We are not responsible for any loss or damage arising from your failure to protect your login credentials.
3.4 Team Accounts
If you purchase a Team subscription:
- You must designate an Administrator as the authorized representative
- The Administrator has full control: user management, subscription changes, permissions, billing
- You are responsible for all team member activity under your account
- Team members must also comply with these Terms
4. SUBSCRIPTION PLANS & PRICING
4.1 Available Plans
Kantalat offers subscription plans as published on the Platform. Plan details, features, and limitations are subject to change in accordance with business policy.
4.2 Free Trial
New users may receive a 3-day free trial, subject to the following conditions:
- Includes 100 credits
- No credit card required to activate the trial
- The trial automatically expires after 3 days unless upgraded
- One trial per user/organization only
- Trial benefits may be changed or discontinued at any time
- During the trial, the Platform is provided as-is with no performance guarantees
4.3 Plan Changes
You may:
- Upgrade to a higher plan at any time (effective immediately)
- Downgrade to a lower plan (effective at the next billing cycle). Please note that downgrading may result in loss of features and/or data. We will not be liable for any such loss.
- Switch between monthly and annual billing (subject to applicable terms)
If you exceed your plan’s execution or credit quota, your Workflows will continue running, but overage charges may apply. We will notify you when you are approaching your limit.

5. PAYMENT & BILLING
5.1 Payment Methods
We accept:
- Major credit cards / Debit cards
- PayPal (selected plans)
All payments are processed securely through our approved payment processor(s). Details of the payment processor will be displayed at checkout.
5.2 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel:
- Monthly subscriptions: Renew every 30 days. All subscription fees are payable in advance at the beginning of each month.
- Annual subscriptions: Renew every 12 months. Annual plans are non-refundable and payable in advance.
You authorize us to charge the renewal fee to your payment method. You will receive a reminder email before each renewal.
5.3 Failed Payments
If a payment fails:
- We will attempt to process the payment up to 3 times within 7 days
- You will receive email notifications about failed payments
- Your account may be suspended during this period
- If payment is not received after 7 days, your subscription will be cancelled
- You will lose access to paid features but retain your data for 30 days
5.4 Refund & Credit Policy
By subscribing to or purchasing any plan on the Platform, you acknowledge and agree that the service is considered fully delivered at the moment your subscription is activated or your credits are credited to your account. Kantalat operates a no-cash-refund policy for all subscription fees and credit purchases.
No Cash Refunds
Kantalat does not offer cash refunds under any circumstances, including but not limited to:
- Cancellation of a subscription after the billing period has begun
- Unused credits or unused portions of a subscription period
- Dissatisfaction with the Service or its features
- Changes in your business needs or requirements
- Failures or unavailability of Third-Party Services connected through the Platform
Credit Adjustment for Platform Errors
The only exception to the above is where a Workflow execution failure is directly caused by a verified technical error on Kantalat’s own platform infrastructure (not Third-Party Services or external APIs). In such cases, Kantalat may, at its sole discretion, issue a credit adjustment to your account equivalent to the credits consumed during the failed execution.
To request a credit adjustment:
- Submit a support ticket at cs@kantalat.com with subject: “Credit Adjustment Request”
- Provide the Workflow execution ID, date and time of the failure, and a description of the error
- Our support team will investigate and respond within 3–5 business days
- If the error is confirmed to originate from Kantalat’s platform, credits will be adjusted to your account within 1–3 business days of confirmation
Credit adjustments are not guaranteed and are issued at Kantalat’s sole discretion following investigation. Credit adjustments are not transferable, have no cash value, and are subject to the same expiry terms as purchased credits.
5.5 Taxes
- All prices exclude applicable taxes unless otherwise stated
- You are responsible for all VAT and other applicable taxes in your jurisdiction
- Taxes will be calculated and added at checkout based on your billing address
- Business customers may be required to provide a valid tax identification number
5.6 Price Changes
We reserve the right to change subscription prices with 30 days’ prior notice:
- Notice will be published on the Platform and via email
- Price changes will NOT affect your current subscription period
- New prices apply upon your next renewal
- You may cancel before the price change takes effect
6. CREDITS SYSTEM
6.1 Credit Valuation
Standard Rate: 1 USD = 50 credits
“Credits” are the internal balance unit used to measure and manage service usage on the Platform. Credits represent purchased usage rights and have no monetary value outside the Platform.
6.2 How Credits Work
- Credits are purchased in USD via international credit/debit card. The system automatically converts to credits at the rate defined on the Platform. By completing a credit purchase, you acknowledge that the service is fully delivered and the transaction is complete at the moment credits appear in your account. No cash refunds will be issued for purchased credits under any circumstances.
- The use of credits is entirely voluntary and does not constitute a commercial purchase or exchange in the traditional sense.
- Credits are strictly non-redeemable for cash or any other currency, non-transferable outside the Platform, and have no monetary value beyond use of services on Kantalat.
6.3 Credit Validity
- Credits are valid for 12 months from the date of payment
- Unused credits expire at the end of their validity period and are forfeited (no refund)
Upon subscription cancellation:
- Monthly plan: Credits expire at the end of the billing period
- Annual plan: Credits remain valid until the end of the annual period
6.4 Purchasing Additional Credits
You may purchase additional credits at any time.
Terms:
- Additional credits are valid for 12 months from the date of purchase
- No refunds after purchase
- Cannot be transferred to another account
6.5 Credit Balance & Tracking
You can view your credit balance at any time in the account dashboard, including:
- Current credit balance
- Monthly allocation
- Credits used in the current billing period
- Credit expiration date
7. THE WORKFLOW AUTOMATION PLATFORM
7.1 What is the Platform
Kantalat provides a workflow automation platform that enables you to connect, automate, and orchestrate actions across multiple software applications and services via their APIs. The Platform allows you to:
- Build automated Workflows using a visual, no-code or low-code interface
- Connect to Third-Party Services and APIs via pre-built Nodes or custom HTTP requests
- Trigger Workflows based on schedules, webhooks, events, or manual execution
- Process, transform, filter, and route data between connected services
- Monitor, log, and report on Workflow executions
The Platform acts as orchestration infrastructure only. Kantalat does not provide, operate, or take responsibility for any Third-Party Services, external APIs, or the outputs generated by those services.
7.2 Third-Party Service Integrations
The Platform enables you to connect Third-Party Services — including but not limited to productivity tools, communication platforms, databases, content platforms, external API providers, and any service with a publicly accessible API — via programming interfaces. You acknowledge that:
- Each Third-Party Service has its own terms of service, pricing, and policies that you must independently agree to and comply with
- Some features on the Platform require you to have a paid subscription with Third-Party Services. These fees are entirely separate from any fees paid to Kantalat.
- Kantalat does not control, endorse, or take responsibility for the availability, accuracy, performance, or legality of any Third-Party Service
- Kantalat cannot control how Third-Party Services process the data you send through your Workflows
- Third-Party Services may change their APIs or policies at any time, which may affect your Workflow functionality
Important Note: We do not require you to provide login credentials for Third-Party Services directly to Kantalat. All integrations use secure authorization protocols (e.g., OAuth 2.0, API keys stored in your account).
7.3 Workflow Executions
An Execution is a single run of a Workflow from start to finish. It does not matter how many Nodes or steps the Workflow has, how much data it processes, or how long it runs — it still counts as one Execution. This makes your usage predictable.
You are solely responsible for:
- Designing, configuring, and testing your Workflows before deploying them to production
- Ensuring that your Workflows comply with the terms of all connected Third-Party Services
- Ensuring that data processed through your Workflows complies with applicable law, including data protection regulations
- Monitoring your Workflow executions and responding to errors or failures
- The accuracy, legality, and appropriateness of all data transmitted through your Workflows
7.4 User Content in Workflows
You may transmit data, files, and content through your Workflows. You retain all ownership rights over User Content transmitted through the Platform. You grant Kantalat a worldwide, royalty-free, non-exclusive licence to process and transmit your User Content solely as necessary to operate the Platform and execute your Workflows.
You represent and warrant that:
- You have all necessary rights, permissions, and licences to transmit User Content through the Platform
- Your User Content does not infringe any third-party rights (intellectual property, privacy, publicity, etc.)
- You have obtained all required consents for any personal data included in your Workflows
- Your Workflows comply with these Terms and all applicable laws
7.5 Platform Performance
We will take steps to ensure that the Platform functions as described. However:
- We do not guarantee the Platform will be uninterrupted, error-free, or available at all times
- We are not responsible for failures caused by Third-Party Services, external APIs, or your internet connection
- We may suspend or withdraw the Platform for business and operational reasons
- In the event of a substantial platform error reported by you, we will seek to correct it within a reasonable time
7.6 Service Modifications
We reserve the right to:
- Add, remove, or modify platform features, Nodes, or integrations
- Change credit costs for specific Workflow features
- Suspend or discontinue features (with notice where possible)
- Implement usage quotas or rate limits
8. USER CONTENT & INTELLECTUAL PROPERTY
8.1 Your Content Ownership
You retain all ownership rights over:
- User Content you create, upload, or transmit through the Service
- Workflow configurations and automation logic you build on the Platform
- Data and outputs generated by your Workflows through Third-Party Services
- Projects and materials you create using the Service
License to Kantalat: By using the Service, you grant Kantalat a worldwide, non-exclusive, royalty-free licence to store, process, and transmit your User Content solely as necessary to operate the Platform and execute your Workflows. This licence terminates when you delete your User Content or terminate your account.
Data you transmit through the Platform remains yours and you retain all rights, title, and interest. You also provide us with a worldwide, royalty-free, non-exclusive right to use aggregated, anonymized usage data to improve our Platform.
8.2 Kantalat’s Intellectual Property
The Platform and all Kantalat materials are protected by copyright, trademark, and other intellectual property laws.
We Own:
- The Platform, software, source code, and technology
- The Kantalat name, logos, trademarks, and brand identity
- Designs, features, functionality, and user interfaces
- Documentation, guides, and training materials
- All improvements, modifications, and derivative works, including those suggested by users
You May NOT:
- Copy, modify, reverse engineer, or create derivative works of the Platform
- Remove or alter copyright, trademark, or proprietary notices
- Use the Kantalat name, logo, or trademarks without written permission
- Attempt to derive or obtain information about the functioning or operation of the Platform
- Transfer, sell, distribute, lease, sublicense, or assign the Platform to any third party
8.3 Workflow Templates & Community Content
The Platform may allow you to share Workflow templates publicly with the community. If you choose to share:
- You grant Kantalat and other users a non-exclusive licence to use, share, and modify your shared Workflow templates
- You acknowledge that shared Workflows may be used, modified, or adapted by others for their own projects
- You retain copyright in your original Workflow templates
8.4 Feedback
If you provide suggestions, comments, or feedback (“Feedback”):
- We may use your Feedback without restriction or compensation
- You assign all rights in the Feedback to Kantalat
- We have no obligation to use or respond to Feedback
- Feedback is non-confidential
9. PROHIBITED USES
You MAY NOT use the Service, build Workflows, or transmit data through the Platform for:
9.1 Illegal or Harmful Activities
- Any activity that violates applicable law or government regulation
- Child Sexual Abuse Material (CSAM) or any content depicting, facilitating, or promoting child exploitation
- Terrorist activities, extremist content, or content promoting violence
- Drug trafficking or promotion of illegal substances
- Human trafficking or modern slavery
- Building or deploying malware, ransomware, viruses, or other malicious code
- Conducting unauthorized security attacks or penetration testing against third parties
9.2 Platform Abuse & System Integrity
- Bypassing, disabling, or circumventing any usage limits, security measures, or access controls
- Scraping, crawling, or data-mining the Platform using automated means
- Attempting to gain unauthorized access to the Platform, its servers, or connected systems
- Interfering with the operation, performance, or infrastructure of the Service
- Creating multiple accounts to circumvent restrictions or obtain additional free trials
- Using the Platform to build competing workflow automation products or services
9.3 Unauthorized Data Processing
- Processing personal data through your Workflows without a lawful basis or required consents
- Building Workflows designed to harvest, scrape, or collect personal data without authorization
- Transmitting data in violation of privacy laws (GDPR, CCPA, etc.) or data protection agreements
- Using Third-Party Service APIs in violation of those services’ terms of service
9.4 Intellectual Property Violations
- Building Workflows that facilitate infringement of copyright, trademark, trade secrets, or other intellectual property rights
- Using the Platform to access, copy, or redistribute copyrighted material without authorization
- Reverse engineering or attempting to clone Third-Party Services through the Platform
9.5 Deception & Fraud
- Using the Platform for false advertising, consumer deception, or fraudulent schemes
- Building Workflows that impersonate individuals, brands, or organizations without authorization
- Generating or distributing spam, unsolicited communications, or phishing content through connected services
- Using the Platform to conduct financial fraud or money laundering
9.6 High-Risk Automated Decision-Making
- Using the Platform to build fully automated decision-making systems that affect individuals’ legal rights, access to financial services, healthcare decisions, employment, insurance, housing, or immigration status — without appropriate human oversight, legal basis, and compliance with applicable regulations
Enforcement: We may:
- Suspend or terminate accounts violating these prohibitions without notice
- Remove or disable access to Workflows or data associated with prohibited uses
- Report illegal activities to law enforcement authorities
- Cooperate with legal investigations
If you believe a Workflow or use of the Platform violates these prohibitions, please report it at: cs@kantalat.com
10. LICENSE GRANT & RESTRICTIONS
Subject to your compliance with these Terms, we grant you a personal, non-transferable, non-exclusive, non-sublicensable, revocable licence to access and use the Platform for your own internal business purposes until terminated as set out in these Terms. This licence permits you to:
- Access and use the Platform for your internal business or personal automation purposes
- Build, configure, and execute Workflows within the Platform
- Connect Third-Party Services to your Workflows via available integrations
- Share Workflow templates publicly on the Platform (optional)
This licence does NOT include the right to:
- Resell, sublicense, or redistribute the Service or access to it
- Use the Platform to build and operate competing workflow automation products or services
- Transfer or assign your licence rights to any third party
- Use the Platform beyond your subscription limits
- Use the Platform for any purpose other than internal business use
11. THIRD-PARTY SERVICES & INTEGRATIONS
11.1 Nature of Third-Party Integrations
The Platform enables connections to Third-Party Services via their publicly available APIs. Kantalat acts solely as an integration intermediary. We do not operate, control, or endorse any Third-Party Service.
You acknowledge and agree that:
- Third-Party Services have their own terms of service and privacy policies that you must independently accept and comply with
- Some Third-Party Services require a paid subscription separate from your Kantalat subscription
- Kantalat is not responsible for the performance, availability, accuracy, or legality of any Third-Party Service
- Changes to Third-Party Service APIs or policies may affect your Workflow functionality, and Kantalat bears no liability for such changes
- You are solely responsible for maintaining valid credentials, API keys, and authorizations for all Third-Party Services you connect
11.2 Payment Processors
Payments are processed by our approved payment processor(s), acting as Merchant of Record where applicable. The identity of the payment processor will be displayed at checkout.
- You agree to the terms of service and privacy policy of the applicable payment processor
- Your payment information is encrypted in accordance with PCI DSS standards
- Payment disputes should be directed to the payment processor
11.3 Third-Party Links & Resources
The Platform may contain links to third-party websites, documentation, or resources. These are provided for your information only and do not constitute an endorsement. We are not responsible for the content or policies of any third-party website.
12. DATA PRIVACY & SECURITY
Privacy Policy: The collection, use, and protection of your personal information is governed by our, incorporated into these Terms by reference.
Data Security: We implement industry-standard security measures including:
- Encryption (TLS 1.3 in transit, AES-256 at rest)
- Access controls and multi-factor authentication
- Regular security audits and penetration testing
- GDPR compliance
Your Responsibilities:
- Use strong passwords and enable 2FA
- Do not share account credentials or API keys
- Report security incidents immediately to cs@kantalat.com
- Regularly review connected Third-Party Service authorizations
- Ensure your Workflow configurations comply with applicable data protection laws
Data Breach Notification: In the event of a data breach affecting the Platform, we will notify affected users within 72 hours as required by applicable law.
Data Retention:
- Active accounts: Data retained while account is active
- Deleted accounts: Data deleted within 30 days (unless required by law or for backup purposes)
- Backups: Retained for 90 days
13. COPYRIGHT & DMCA POLICY
If you believe that content on our Service infringes your copyright, please submit a DMCA notice to:

Your notice must include:
- Physical or electronic signature of the copyright owner or authorized agent
- Identification of the copyrighted work alleged to be infringed
- Identification of the infringing material and its location on the Service
- Your contact information (name, address, email, phone)
- A statement of good-faith belief that the use is unauthorized
- A statement under penalty of perjury that the information is accurate and you are authorized to act
Counter-Notice: If your content is removed due to a DMCA notice and you believe it was removed in error, you may submit a counter-notice.
13.2 Repeat Infringer Policy
We will terminate the accounts of users who repeatedly infringe copyright.
14. TERM, RENEWAL & TERMINATION
14.1 Term
These Terms remain in effect for as long as you access or use the Service. Your subscription continues until you cancel it, we terminate it for cause, or payment fails and the account is suspended.
14.2 Cancellation by You
You may cancel your subscription at any time through:
- Account Settings > Subscription > Cancel
- Contacting support at cs@kantalat.com
Effect of Cancellation:
- Monthly plans: Cancellation takes effect at the end of the current month. No further payments will be taken.
- Annual plans: Cancellation takes effect at the end of the annual term. Annual plans are non-refundable.
- You retain access until the end of the paid period
- Your data is retained for 30 days after cancellation, after which it will be deleted
14.3 Termination by Kantalat
We may suspend or terminate your account immediately for:
- Violation of these Terms
- Illegal activity or prohibited use (Section 9)
- Copyright infringement
- Fraudulent activity
- Non-payment
- Risk to the security or integrity of the Service
Effect of Termination:
- Immediate loss of access to the Service
- No refunds
- Permanent deletion of your data after 30 days
14.4 Survival
The following sections survive termination: Sections 8 (IP), 9 (Prohibited Uses), 13 (Copyright), 15 (Disclaimers), 16 (Indemnification), 17 (Dispute Resolution), 19 (General).
15. DISCLAIMERS & LIMITATION OF LIABILITY
15.1 Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:
- Warranties of merchantability, fitness for a particular purpose, title, or non-infringement
- That the Service will be uninterrupted, error-free, or secure
- That Third-Party Services will remain available, accurate, or functional
- That defects will be corrected
- That the Service is free of viruses or harmful components
WE DO NOT WARRANT:
- The accuracy, completeness, or reliability of data processed through Third-Party Services
- That the Service will meet your specific requirements
- That third-party integrations will remain available or continue to function
- That your Workflow data or configurations will not be lost or corrupted
IMPORTANT: The Platform is an automation orchestration tool. Kantalat is not responsible for the outputs, actions, or content generated by Third-Party Services connected through your Workflows. You are solely responsible for the design, configuration, testing, and operation of your Workflows and for any consequences arising from their execution.
15.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KANTALAT SHALL NOT BE LIABLE FOR:
Indirect, Incidental, Special, Consequential, or Punitive Damages, including:
- Lost profits, revenue, data, or business opportunities
- Cost of substitute services
- Business interruption
- Loss of goodwill or reputation
- Any damages arising from Third-Party Service outputs, failures, or policy changes
- Any damages arising from Workflow execution errors or misconfigurations
REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AGGREGATE LIABILITY CAP: Our total liability to you for all claims arising from these Terms or the Service shall not exceed:
- Monthly Subscription: The amount you paid in the 1 month preceding the claim
- Annual Subscription: The amount you paid for your annual subscription
- In no event more than $500 USD
Exceptions: This limitation does not apply to our indemnification obligations (Section 16), damages caused by our gross negligence or willful misconduct, or claims that cannot be limited by law.
16. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Kantalat, its affiliates, officers, directors, employees, agents, and licensors from any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from:
- Your use of the Service
- Your User Content or Workflow configurations
- Your violation of these Terms
- Your violation of third-party rights (intellectual property, privacy, publicity, etc.)
- Your violation of applicable law or regulations
- Your use of Third-Party Services through the Platform
- Data you process through your Workflows, including any personal data
- Any claim that your Workflows or their outputs infringe third-party rights
Procedure:
- We will promptly notify you of any claim
- You will control the defense (at your expense)
- We may participate in the defense (at our expense)
- You will not settle without our prior written consent
- We reserve the right to take exclusive control of the defense if you fail to defend
17. DISPUTE RESOLUTION
17.1 Informal Resolution
Before filing a claim, you agree to contact us at cs@kantalat.com to attempt informal resolution within 30 days.
17.2 Arbitration
If informal resolution fails, disputes will be resolved by arbitration in the country where the Platform is registered. Arbitration awards are final and binding, enforceable in any court of competent jurisdiction. Each party may bring individual actions in court instead of arbitration where appropriate.
17.3 Class Action Waiver
YOU AND KANTALAT AGREE TO resolve disputes individually, not as class actions or collective proceedings. You waive the right to participate in class actions, class arbitrations, or representative actions.
If this waiver is found unenforceable, the arbitration agreement does not apply and disputes will be resolved in court.
17.4 Exceptions to Arbitration
Either party may seek equitable relief in court for intellectual property infringement, security breaches, unauthorized access or use, or violations requiring immediate action.
18. MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. We will provide:
- 30 days’ prior notice for material changes — published on the Platform and via in-app notification
- Updated “Last Updated” date for non-material changes
If you disagree with any changes, you may terminate your account before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
19. GENERAL PROVISIONS
19.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Kantalat regarding the Service.
19.2 Severability
If any provision is found invalid or unenforceable, the remaining provisions remain in full force. The invalid provision will be modified to reflect the parties’ intent to the maximum extent permitted by law.
19.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver. Failure to enforce any right does not waive that right.
19.4 Assignment
You may not assign or transfer these Terms or your rights without our prior written consent. We may assign or transfer these Terms to any affiliate, successor, or acquirer without your consent.
19.5 Force Majeure
Neither party is responsible for failure to perform due to causes beyond their reasonable control, including natural disasters, war, terrorism, pandemics, government action, or internet/telecommunications failures.
19.6 Notices
To You: We will send notices to your registered email address. Notice is effective upon sending.

19.7 Governing Law
These Terms shall be governed by the laws of the country in which the Platform is registered, without regard to conflict of law principles.
19.8 Language
These Terms are provided in English and Vietnamese. In the event of a conflict, the English version shall prevail.
